Business can be undertaken in various forms and the ways of doing business are mostly governed by law. Since its inception, ATS has focused mainly on the practice of corporate laws. We have had the opportunity to work with various corporate clients in areas such as privatisation, mergers and acquisitions (M&As), initial public offerings (IPOs) and corporate restructuring exercises. In privatisation exercises, ATS’s role includes negotiating with the government and drafting of concession agreements and relevant construction contracts. In M&As, we play a key role in the negotiation process and drafting of various agreements on options, subscription and shareholding. If foreign investment is involved, ATS also provides advice on all regulatory requirements. We also undertake due diligence exercises, which are key parts of the M&A process.
In IPOs, our scope of work includes advising clients on regulatory requirements, undertaking due diligence exercises, assisting in verifying prospectuses and drafting of memorandums and articles of associations pertaining to IPOs.
We also provide advisory services to clients on their corporate restructuring exercises which include the raising of capital by rights issue, bonus issue, warrants, private placements and loan stocks.
